Terms of Service

1. Nature of Service

AttriBiz ("we", "us") is a private document filing service. We are not a law firm, we are not a government agency and we do not provide legal advice. Our services are limited to the clerical preparation, audit and filing of Texas state forms based on the information you provide.

2. Authorization

By submitting an order, you designate AttriBiz as your third-party authorized agent to:

• Access your tax records via the Texas Comptroller’s Webfile system.
• Communicate with the Secretary of State regarding your entity status.
• Submit filings (Forms 801, 811, PIR, OIR) on your behalf.
• Receive and forward legal notices (if you subscribe to Registered Agent services).

3. Fees & No-Refund Policy

Service Fees (Non-Refundable Retainer):

By submitting an order, you agree that all Service Fees (whether the $199 Diagnostic fee or the full $598/$698 Reinstatement fee) are classified as a non-refundable engagement retainer. This retainer is earned in full immediately upon payment to compensate AttriBiz for:

• The immediate reservation of administrative resources and personnel.
• The initiation of the forensic audit and liability discovery process.
• Access to our proprietary diagnostic intellectual property.

Strict No-Cancellation Policy: Because our work begins automatically and immediately upon order submission, all Service Fees are final and non-refundable, regardless of whether you choose to proceed with the final filing. You acknowledge that you are paying for our time and expertise, not just the submission of a document.

State Fees (Trust Funds): Money collected specifically for State Penalties and Taxes is held as pass-through funds. If you cancel before we pay the state, these specific funds will be returned to you. Once paid to the state, they are non-recoverable.

4. Subscription Services (Auto-Renewal)

If you purchase Registered Agent Services or Compliance Guard, you agree to the following:

• Automatic Renewal: These services renew automatically every 12 months at the then-current rate (currently $199/year).
• Cancellation: You may cancel anytime by emailing support@attribiz.com. Cancellation must be received at least 7 business days before your renewal date to avoid charges.
• Resignation of Agent: If your Registered Agent subscription is cancelled or payment fails, AttriBiz reserves the right to resign as your Registered Agent immediately. This may result in your entity forfeiting its right to do business in Texas.

5. User Responsibility & Accuracy

You certify that the information you provide (including Taxpayer IDs and Webfile numbers) is accurate. AttriBiz is not responsible for rejections, delays or additional penalties caused by incorrect data provided by the client. We do not audit your financial records for tax correctness; we only file based on the revenue figures you provide.

6. Limitation of Liability

AttriBiz is not responsible for processing delays caused by Texas state agency backlogs or system outages. In no event shall our liability exceed the amount of the Service Fee paid by you to AttriBiz. We are not liable for any consequential damages, lost profits or business interruptions resulting from forfeiture or failed reinstatement.

7. Indemnification

You agree to indemnify, defend and hold harmless AttriBiz, its officers and employees from any claims, liabilities, damages and expenses (including legal fees) arising from your use of our services, your violation of state laws or the information you provided to us.

8. Class Action Waiver

Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You expressly waive your right to file a class action lawsuit.

9. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be severed and the remainder of the Terms shall remain in full force. These Terms constitute the entire agreement between you and AttriBiz regarding our services.

10. Governing Law & Venue

These terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas.
